Terms of Service
Turfile Technologies Inc.
Effective Date: May 26, 2026
These Terms of Service govern your access to and use of Turfile, including our website, web application, mobile applications, mapping tools, geospatial features, imagery tools, asset management features, task and issue management features, and related services.
By creating an account, accessing Turfile, subscribing to a plan, starting a free trial, accepting an invitation to a property, or otherwise using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
1. The Service
Turfile provides map-based software tools designed to help golf courses, turfgrass professionals, property managers, contractors, and related teams map, organize, document, and manage property information.
The Service may include tools for mapping infrastructure, assets, irrigation systems, drainage systems, trees, bunkers, hazards, work areas, property issues, imagery layers, files, notes, photos, tasks, inspections, reports, and other operational records.
Turfile may update, improve, modify, suspend, or discontinue parts of the Service from time to time. We may add or remove features, change how features work, or limit certain functionality where needed for technical, legal, security, operational, or business reasons.
2. Accounts and Access
To use certain parts of the Service, you may need to create an account or be invited to join an existing property or workspace.
You agree to provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify Turfile promptly if you believe your account has been accessed without authorization or if your login credentials have been compromised.
3. Property Workspaces, Admins, and Team Members
Turfile allows users to create or join property workspaces. A property workspace may represent a golf course, facility, site, project, or other managed property.
Users may have different roles or permissions within a property workspace. For example, some users may be admins who can invite team members, manage settings, upload data, delete property records, or control access to the workspace.
If you are an admin, you are responsible for managing access to your property workspace and ensuring that invited users are authorized to view, upload, edit, or manage the information in that workspace.
Turfile is not responsible for disputes between users, team members, contractors, employers, employees, property owners, or other parties regarding access to or control over a property workspace.
4. User Content
“User Content” means any data, files, images, photos, maps, geospatial data, drawings, notes, comments, tasks, issues, reports, asset records, inspection records, property information, or other materials uploaded, entered, created, stored, or submitted through the Service by you or users associated with your account or property workspace.
You retain ownership of your User Content. Turfile does not claim ownership of the property records, maps, imagery, photos, files, or other materials you upload or create in the Service.
By using the Service, you grant Turfile a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, display, process, transform, transmit, back up, and use User Content only as needed to provide, maintain, secure, support, improve, and operate the Service.
This license allows Turfile to perform functions such as storing uploaded files, displaying maps and imagery, generating tiles or previews, processing geospatial data, creating reports, backing up data, troubleshooting issues, and supporting your use of the platform.
5. Your Responsibilities for User Content
You are responsible for the User Content you upload, enter, or create using the Service.
You represent and warrant that you have the rights, permissions, consents, and authority necessary to upload, use, process, and share your User Content through the Service.
This includes, where applicable, rights or permissions related to property maps, aerial imagery, drone imagery, survey data, as-built drawings, contractor files, GIS files, photos, employee information, customer information, and any other third-party materials.
You agree not to upload or use content that infringes the rights of others, violates applicable law, contains unlawful material, or includes information you are not authorized to share.
6. Imagery, Maps, and Geospatial Data
Turfile may allow users to upload, view, process, tile, overlay, draw on, or otherwise work with maps, imagery, geospatial files, drone data, satellite imagery, aerial imagery, CAD files, PDFs, survey files, and related materials.
You are responsible for ensuring that you have the legal right to upload, process, view, and use any imagery, map, or geospatial data you provide to the Service.
You are also responsible for ensuring that any drone imagery, aerial imagery, or field data you upload was collected and used in compliance with applicable laws, including aviation, privacy, property, employment, and data protection laws.
Maps, imagery, overlays, asset locations, measurements, areas, boundaries, labels, and geospatial outputs in Turfile may not always be perfectly accurate. Basemaps, satellite imagery, aerial imagery, uploaded files, GPS data, manually placed points, and user-created drawings can contain errors, offsets, distortions, outdated information, or incomplete data.
You are responsible for verifying important information before relying on it for safety, legal, financial, construction, irrigation, chemical application, property boundary, regulatory, or operational decisions.
Turfile is not a licensed surveying, engineering, legal, agronomic, construction, safety, or compliance service.
7. Acceptable Use
You agree not to misuse the Service. You must not:
Use the Service for unlawful, harmful, fraudulent, infringing, or abusive purposes.
Attempt to access accounts, data, systems, or property workspaces without authorization.
Interfere with or disrupt the security, availability, performance, or integrity of the Service.
Upload malicious code, viruses, malware, or harmful files.
Scrape, extract, copy, resell, redistribute, or commercially exploit the Service or its underlying technology except as expressly permitted by Turfile.
Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Service, except where prohibited from restriction by law.
Use the Service to violate the privacy, intellectual property, contractual, employment, or property rights of others.
Upload content that is defamatory, obscene, threatening, discriminatory, hateful, or otherwise unlawful.
Abuse free trials, promotional offers, referral programs, support channels, or platform resources.
Use the Service in a way that places unreasonable load on Turfile’s systems or infrastructure.
Turfile may suspend or restrict access to the Service if we believe these Terms have been violated or if action is needed to protect users, data, systems, or the Service.
8. Subscriptions, Trials, Billing, and Payment
Some parts of the Service may require a paid subscription, paid plan, one-time purchase, enterprise agreement, or other payment arrangement.
Paid subscriptions may renew automatically unless canceled before the renewal date. By subscribing to a paid plan, you authorize Turfile and its payment processor to charge the applicable fees, taxes, and recurring subscription amounts using the payment method provided.
Fees, plan features, limits, and billing terms may vary by plan, promotion, customer type, or agreement. Turfile may change pricing or plan features from time to time. Where required, we will provide notice before changes apply to an existing paid subscription.
Free trials, discounted plans, promotional pricing, or beta access may be offered at Turfile’s discretion. Turfile may modify, limit, or end these offers at any time.
Unless otherwise stated or required by law, payments are non-refundable. Canceling a subscription stops future renewal charges but does not automatically provide a refund for amounts already paid.
Payments may be processed by third-party payment providers such as Stripe. Turfile does not store full payment card details on its own servers.
9. Enterprise and Multi-Property Accounts
Turfile may offer enterprise, multi-property, invoiced, custom, or centrally billed arrangements for organizations that manage multiple properties or teams.
For enterprise or custom arrangements, the specific terms agreed in writing between Turfile and the customer may supplement or override the general billing terms in these Terms where there is a conflict.
Organizations are responsible for ensuring that their users, employees, contractors, and invited collaborators comply with these Terms.
10. Third-Party Services and Integrations
The Service may use or connect with third-party services, including hosting providers, cloud storage providers, mapping providers, analytics providers, payment processors, email providers, scheduling tools, form tools, and other software services.
Your use of third-party services may be subject to the separate terms, privacy policies, limits, fees, and practices of those third parties.
Turfile is not responsible for third-party services, third-party content, third-party outages, third-party data handling, or changes made by third-party providers.
11. Reports, Exports, and Operational Outputs
Turfile may allow users to generate, export, download, share, or print reports, maps, files, PDFs, records, measurements, issue summaries, inspection records, or other outputs.
These outputs depend on the accuracy and completeness of the underlying User Content and system data. You are responsible for reviewing and verifying all outputs before using or sharing them.
Turfile does not guarantee that reports, exports, maps, calculations, measurements, or operational outputs are complete, accurate, compliant, or suitable for any specific purpose.
12. Automated, AI-Assisted, or Processing Features
Turfile may offer features that process images, maps, files, text, or other data to assist with mapping, segmentation, classification, reporting, recommendations, search, or other workflows.
These features are provided to assist users, not to replace human judgment. Outputs may be inaccurate, incomplete, outdated, or inappropriate for a particular use case.
You are responsible for reviewing and verifying any automated, AI-assisted, or processed outputs before relying on them.
13. Privacy
Turfile’s collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that Turfile may collect, use, store, and process information as described in the Privacy Policy.
14. Data Deletion and Account Termination
You may stop using the Service at any time. You may also request deletion of certain account or property data by contacting Turfile or using available in-app tools.
Deletion of property data may require confirmation by an authorized admin or account holder. Turfile may retain certain information where required or permitted by law, for security, fraud prevention, tax, accounting, backup, dispute resolution, or legitimate business purposes.
If your account or property workspace is deleted, User Content associated with that account or workspace may be permanently deleted and may not be recoverable.
Turfile may suspend, restrict, or terminate access to the Service if we believe you have violated these Terms, created legal or security risk, failed to pay applicable fees, or misused the Service.
15. Service Availability and Security
Turfile aims to provide a reliable and secure Service, but we do not guarantee that the Service will always be available, uninterrupted, error-free, secure, or free from data loss.
The Service may be unavailable from time to time due to maintenance, updates, outages, third-party provider issues, security events, or circumstances beyond our control.
You are responsible for maintaining appropriate backups of important records, files, maps, imagery, and operational information where necessary for your business or organization.
16. Intellectual Property
Turfile and its licensors own all rights, title, and interest in and to the Service, including the software, design, features, workflows, interfaces, branding, trademarks, logos, documentation, content, and underlying technology, except for User Content.
These Terms do not grant you any ownership interest in Turfile’s intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as permitted by these Terms or with Turfile’s written permission.
17. Feedback
If you provide ideas, suggestions, comments, requests, improvements, or other feedback about the Service, you grant Turfile the right to use that feedback without restriction or compensation to you.
This helps Turfile improve the platform while avoiding disputes over product ideas, feature requests, or improvements.
18. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.”
Turfile disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and security.
Turfile does not guarantee that the Service will meet your requirements, that results will be accurate or reliable, that errors will be corrected, or that the Service will be uninterrupted or free from harmful components.
19. Limitation of Liability
To the maximum extent permitted by law, Turfile Technologies Inc. and its directors, officers, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, lost data, loss of goodwill, business interruption, or cost of substitute services.
To the maximum extent permitted by law, Turfile’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount paid by you to Turfile for the Service in the twelve months before the event giving rise to the claim, or one hundred Canadian dollars if you have not paid Turfile during that period.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
20. Indemnification
You agree to defend, indemnify, and hold harmless Turfile Technologies Inc. and its directors, officers, employees, contractors, agents, affiliates, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
Your use or misuse of the Service.
Your User Content.
Your violation of these Terms.
Your violation of applicable law.
Your violation of any third-party rights.
Your use of maps, imagery, geospatial data, drone data, files, reports, exports, or operational outputs.
The actions or omissions of users you invite to a property workspace.
21. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law principles.
You agree that any dispute arising out of or relating to these Terms or the Service will be brought in the courts located in British Columbia, Canada, unless applicable law requires otherwise.
22. Changes to These Terms
Turfile may update these Terms from time to time. When we make changes, we may update the effective date above and, where appropriate, provide notice through the Service, by email, or by posting the updated Terms on our website.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
