1. Acceptance of Terms

These Terms of Use (“Terms”) govern access to and use of the Turfile platform and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

The Service provides software tools for geospatial mapping, asset management, imagery visualization, and operational recordkeeping. Turfile may modify, suspend, or discontinue features of the Service at any time.

3. Accounts and Responsibilities

Users are responsible for maintaining the confidentiality of account credentials and for all activity occurring under their accounts. Users agree to provide accurate information and to promptly update account details as necessary.

4. User Content and License

Users retain ownership of all data, imagery, and other materials uploaded to the Service (“User Content”). By uploading User Content, Users grant Turfile a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transform, create derivative representations, and display such content solely for purposes of operating and improving the Service.

5. Imagery, Drone Data, and Geospatial Content

Users represent and warrant that they possess all rights, licenses, and permissions necessary to upload User Content, including compliance with aviation, privacy, and data protection laws applicable to drone imagery. Users agree not to extract, scrape, download, reverse engineer, redistribute, or resell raw imagery, tiles, or derivative outputs except as expressly permitted through the Service.

6. Acceptable Use

Users agree not to misuse the Service, interfere with its operation or security, submit unlawful or infringing content, abuse AI features, or attempt unauthorized access to systems or data.

7. Artificial Intelligence Disclaimer

AI features are provided “as is.” Turfile makes no representations regarding the accuracy or reliability of AI outputs and disclaims liability for decisions made in reliance on such outputs.

8. Payments and Subscriptions

Payments are processed by third-party payment processors. Subscriptions renew automatically unless canceled. Fees are non-refundable except as required by law. Taxes may apply depending on jurisdiction.

9. Intellectual Property

All intellectual property rights in the Service, excluding User Content, are owned by Turfile or its licensors. No rights are granted except as expressly stated in these Terms.

10. Suspension and Termination

Turfile may suspend or terminate access to the Service for violation of these Terms, misuse of the Service, or legal or security reasons.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TURFILE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

To the maximum extent permitted by law, Turfile shall not be liable for indirect, incidental, special, or consequential damages. Turfile’s total liability shall not exceed the amounts paid by the User to Turfile in the twelve (12) months preceding the claim.

13. Indemnification

Users agree to indemnify and hold harmless Turfile from claims arising out of User Content, misuse of the Service, or violation of applicable laws or third-party rights.

14. Governing Law

These Terms are governed by the laws of Canada, without regard to conflict-of-law principles.
